2Acceptance of Terms

By accessing the Website or engaging with any Saminus service, you confirm that:

• You have the legal capacity and authority to enter into this Agreement (and, if acting on behalf of a business, are duly authorised to bind that entity);
• You have read, understood, and agree to be bound by these Terms and our Privacy Policy and Cancellation & Refund Policy.

Saminus Private Limited reserves the right to amend these Terms at any time without prior notice. The updated Terms will be posted on this page with a revised “Last Updated” date. Your continued use of the Website or services after such changes constitutes acceptance.

4Service Agreements, Orders & Scope

4.1 Project Commencement

A project or service engagement is officially initiated only upon:

1. Written confirmation of the scope of work (via email, proposal, or signed Service Order / SOW);
2. Receipt of the agreed advance payment (minimum 50% for development projects); and
3. Written acknowledgement from Saminus Private Limited.

4.2 Change Requests & Scope Creep

Any changes to the agreed scope of work after project commencement must be submitted in writing and will be treated as a separate Change Request. Additional charges may apply. Saminus reserves the right to revise timelines for approved change requests.

4.3 Client Responsibilities

Clients are responsible for:

• Providing accurate and complete project briefs, content, and materials on time;
• Designating a single point of contact for approvals and communication;
• Providing timely feedback and approvals (delays caused by the client may extend project timelines at no liability to Saminus);
• Ensuring that any content, images, or materials provided to us do not infringe third-party intellectual property rights.

4.4 Timelines

Project timelines shared in proposals or SOWs are estimates based on standard workloads and timely client cooperation. Saminus Private Limited shall not be liable for delays caused by: client inaction, delayed payments, third-party dependencies (hosting providers, API outages, domain registrars), or force majeure events.

6Intellectual Property Rights

6.1 Website Content & Materials

All content on saminus.com — including but not limited to design, layout, graphics, logos, text, and code — is the property of Saminus Private Limited or its licensors and is protected under Indian copyright law and international intellectual property treaties.

• Reproduction, redistribution, or commercial use of any Website content without prior written consent is strictly prohibited.
• You may not create links to this website from another website or document without Saminus Private Limited’s prior written consent.
• Unauthorised use of this Website may give rise to a claim for damages and/or constitute a criminal offence under the IT Act 2000 and BNS 2023.

6.2 Client-Provided Content

By submitting content (text, images, logos, data) to Saminus for use in your project, you confirm that you own or have the necessary rights to all such content and that its use will not infringe any third-party rights. You grant Saminus a non-exclusive licence to use such content solely for delivering your project.

6.3 Portfolio Rights

Unless expressly prohibited in writing, Saminus Private Limited reserves the right to display completed work in its portfolio, case studies, and marketing materials.

7Prohibited Use & User Obligations

You agree NOT to use this Website or any Saminus service to:

• Violate any applicable Indian or international law or regulation;
• Transmit any unlawful, harmful, defamatory, obscene, or fraudulent material;
• Infringe upon the intellectual property rights of Saminus or any third party;
• Attempt to gain unauthorised access to any part of the Website, server, or database;
• Introduce malware, viruses, Trojan horses, or any other malicious code;
• Engage in any activity that disrupts, damages, or impairs the Website or its infrastructure;
• Misrepresent your identity or impersonate Saminus Private Limited or any of its employees;
• Use or promote proxy servers, VPNs, or anonymisation tools to circumvent security measures on this Website — any such use is entirely at your own risk and Saminus is not responsible for any loss or gain resulting therefrom;
• Solicit others to perform any of the above prohibited acts.

Third-party integrations used in Saminus Cloud (such as Google Business Profile API, payment gateways, and analytics tools) are governed by the respective third parties’ terms of service and privacy policies in addition to ours.

10Disclaimers & Limitation of Liability

10.1 “As Is” Basis

The Website and its content are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Neither Saminus Private Limited nor any third party provides any warranty or guarantee regarding the accuracy, timeliness, completeness, or suitability of information on this Website. You acknowledge that such information may contain inaccuracies and we exclude liability for these to the fullest extent permitted by law.

10.3 Limitation of Liability

To the maximum extent permitted by applicable Indian law, Saminus Private Limited’s total aggregate liability to you for any claim arising out of or in connection with these Terms or services shall not exceed the total fees actually paid by you to Saminus in the 3 months immediately preceding the claim.

In no event shall Saminus be liable for:

• Indirect, incidental, consequential, special, or punitive damages;
• Loss of profits, revenue, data, business, or goodwill;
• Business interruption or lost opportunities;
• Damages arising from third-party service outages (hosting, Google APIs, payment gateways);
• Any damage caused by your use of VPNs, proxy servers, or circumvention tools.

10.4 Force Majeure

Saminus Private Limited shall not be in breach of these Terms or liable for any delay or failure to perform obligations due to circumstances beyond its reasonable control, including natural disasters, acts of government, internet or power outages, pandemics, labour disputes, or acts of third-party service providers.

11Confidentiality

Both parties agree to keep confidential any proprietary information, trade secrets, business strategies, technical data, pricing, or client information shared during the course of engagement. This obligation survives termination of the service agreement for a period of 3 years.

Saminus shall not disclose your project details, business data, or login credentials to any unauthorised third party. Clients shall not disclose Saminus’s proprietary methodologies, pricing structures, or internal processes to competitors or the public.

12Termination of Services

Either party may terminate an ongoing service agreement with 30 days’ written notice, subject to payment of all fees due for work completed up to the termination date.

Saminus Private Limited may terminate services immediately and without notice if:

• You breach any provision of these Terms;
• Payment is overdue by more than 15 days despite reminder;
• You engage in fraudulent, abusive, or illegal activity;
• Continuing the engagement would violate applicable law.

13Promotions, Contests & Special Offers

From time to time, the Website may contain contests, promotional offers, or special pricing. Such promotions:

• Are subject to separate eligibility rules and conditions as specified at the time of the offer;
• May have geographic, age, or account restrictions;
• Are offered at Saminus’s sole discretion and may be withdrawn without notice;
• Are non-transferable, non-exchangeable, and cannot be combined with other offers unless stated.

Participation in any promotion constitutes acceptance of its specific terms and these general Terms.

14Privacy & Data Protection

Your use of this Website and our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to the data practices described therein.

We comply with the Digital Personal Data Protection Act 2023, the Information Technology Act 2000, and the IT (Reasonable Security Practices) Rules 2011. For Google API-related data handling, please refer to the dedicated Google API disclosure in our Privacy Policy.

15Indemnification

You agree to indemnify, defend, and hold harmless Saminus Private Limited, its directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

• Your breach of these Terms;
• Your violation of any applicable law or third-party rights;
• Content or materials you provide to Saminus that infringe third-party intellectual property;
• Your misuse of the Website or services;
• Any fraudulent, negligent, or wilful misconduct on your part.

16Governing Law & Dispute Resolution

These Terms and all disputes arising out of or related to them shall be governed exclusively by the laws of the Republic of India, including:

• The Information Technology Act, 2000 and its amendments
• The Digital Personal Data Protection Act, 2023
• The Bharatiya Nyaya Sanhita (BNS), 2023
• The Consumer Protection Act, 2019
• The Indian Contract Act, 1872

Jurisdiction: All disputes shall be subject to the exclusive jurisdiction of the courts at Hisar, Haryana, India. Before initiating formal legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of 30 days.

17Severability & Entire Agreement

If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy, Cancellation & Refund Policy, and any applicable Service Order or SOW, constitute the entire agreement between you and Saminus Private Limited with respect to your use of the Website and services, and supersede all prior agreements, representations, and understandings.
